Terms of Service of 1Place4Stocks for Private Investors

1. General

These Terms of Service (“TOS”) of Tobias Zepp, Kirschblütenweg 9, 56332 Dieblich, Germany, contact@1place4stocks.com (“1Place4Stocks”) serve as the legal basis for the use of the services offered by 1Place4Stocks for private investors (“Users”).

2. Contract amendment and transfer

1. 1Place4Stocks is entitled to change and adapt these terms and conditions during the term of the contract with effect for the future if this becomes necessary for a compelling reason. Such a compelling reason can be, for example, for compelling operational reasons or changes in legislation or case law or if only new services (e.g. the expansion of the range of services) are introduced. 1Place4Stocks will send the user the amended terms and conditions in text form via email before they come into effect and will specifically indicate the new regulations and the date of entry into force. At the same time, the user will be given a period of at least four weeks to declare whether he or she accepts the amended terms and conditions for the continued use of the services. The period begins upon receipt of the message in text form. If the user does not declare his or her consent within this period, the amended terms and conditions are deemed to have been agreed. 1Place4Stocks will specifically inform the user of this legal consequence, i.e. the right of objection, the objection period and the meaning of silence, at the beginning of the period. This does not apply to changes in the main contractual obligations of the parties, with the exception of pure extensions of the operator's range of services. Changes to the main contractual obligations of the parties require the active consent of the user. If you do not agree with these changes, we are entitled to cancel your subscription.

2. 1Place4Stocks reserves the right to change the scope and type of services offered on the website at any time. 1Place4Stocks is entitled to stop operating the website in whole or in part at any time without prior notice. 1Place4Stocks is not liable for damages or consequential damages resulting from the cessation of operation of the website.

If the 1Place4Stocks website is discontinued, any payments already made for an active subscription will be refunded pro rata. However, no further claims can be made.

3. 1Place4Stocks may change the fees and features or add new fees and features related to existing or new products at any time. Changes will be communicated to the user in a timely manner and will not affect subscriptions already concluded until the end of their respective term. If you do not agree with the changes, we are entitled to cancel your subscription.

4. Should the legal form of 1Place4Stocks change in the future (e.g. conversion to a GmbH), this contract will automatically be continued between the user and the newly founded legal form of 1Place4Stocks. In this case, all rights and obligations from this contract will be transferred to the newly founded legal form.

3. Conclusion of contract

1. To use the services, the user is obliged to register on the 1Place4Stocks website.

2. Registration requires that the user is of legal age.

3. The user guarantees that he will only enter truthful information during the registration process and, in particular, will not use any personal data of third parties or other content that affects the rights of third parties. Any input errors made by the user can be corrected on an overview page during the registration process.

4. The contract between the user and 1Place4Stocks is only concluded when a user account is created on the 1Place4Stocks website. To do this, the user must complete the registration process provided on the website. This includes filling out the registration form with the required data, accepting these Terms of Service and the Privacy Policy by clicking the corresponding box, and confirming the registration by clicking on the link contained in the confirmation email sent by 1Place4Stocks (double opt-in process). This also contains a copy of the agreements. Registration is completed by clicking the link.

5. Each user may only create one user account and may not transfer this to third parties. The user is responsible for keeping his or her access data confidential. If there is any suspicion of misuse of the user account by third parties, 1Place4Stocks must be informed immediately.

4. Terms and restrictions of use

1. 1Place4Stocks provides the user with the services for the duration of the contractual relationship for retrieval via the Internet (website and Notion template). 1Place4Stocks sets up the services on one of its servers, which is accessible to the user via the Internet and also writes data into a provided Notion template. 1Place4Stocks is only responsible for the availability of the services on its own servers.

2. The user is responsible for providing a suitable device and an adequate internet connection. The user is also obliged to report any defects to 1Place4Stocks immediately. 1Place4Stocks does not guarantee the compatibility or performance of the user's technical equipment.

3. To use the services, you will still need a Notion account, which will be linked to your 1Place4Stocks account. There may be restrictions for users in the Notion "Free" plan, so that some content may require an additional paid Notion subscription. Details can be found on our "Pricing" page with the product features. 1Place4Stocks is not responsible for the technical availability of the Notion servers, services and apps.

4. 1Place4Stocks assumes no responsibility if the Website or Services do not function properly due to the User’s technical specifications or settings.

5. Updates may require user involvement, e.g. adding or changing a field in the provided Notion template. The user will be informed of this in various ways, e.g. the website, by email and/or comment in the Notion template.

6. 1Place4Stocks, as the rights holder, grants users a non-exclusive, non-transferable and limited right to use the website as well as the template and the data provided on both (hereinafter "Data") for personal and non-commercial purposes. Any use of the Data for commercial purposes is expressly prohibited unless expressly approved in writing by 1Place4Stocks.

7. The economic and financial information published on 1Place4Stocks is for information purposes only and does not constitute advertising, recommendation or advice, nor an invitation to buy or sell investment instruments or to carry out other transactions. 1Place4Stocks makes no representations whatsoever about the reliability, correctness or completeness of the information and opinions published. They do not constitute an investment recommendation, nor do they constitute investment advice. It is expressly pointed out that further information may need to be obtained in order to make a sound investment decision. The use of the data is at your own risk. The purchase of shares or derivatives can lead to losses up to the total loss of the invested capital. Depending on the instrument, the loss with derivatives can even exceed the invested capital.

8. The information and opinions disseminated by 1Place4Stocks are provided for private use only. They may be changed or deleted at any time and without prior notice. 1Place4Stocks is not obliged to keep the information up to date at all times.

9. All content (including all text, data, graphics, logos, etc.) on 1Place4Stocks is protected by copyright. All rights, title and interest therein (including trademarks, patents, copyrights and other intellectual property rights and other rights) remain with 1Place4Stocks or the respective rights holder. Users may share links to 1Place4Stocks content and exported graphics on social media platforms provided the source is acknowledged. However, the reproduction, transmission, modification or use of the content, in whole or in part, for other public or commercial purposes is prohibited without the prior written consent of 1Place4Stocks.

10. Users may not make any representations or warranties to any third party regarding 1Place4Stocks, its data providers or the Data without the prior written permission of 1Place4Stocks.

11. Users are prohibited from altering, modifying or distorting the data in any way that would materially compromise the integrity of the data.

5. Ordering paid services

1. After registering, users can purchase paid services from 1Place4Stocks. The essential characteristics of the various paid services, as well as their contract duration, costs (both monthly and annual) and termination options can be found in our offers on our website. Any input errors made by the user can be corrected on an overview page during the ordering process.

2. The order is placed via the “Subscribe with payment” button. The contract for the paid services is concluded as soon as the order is accepted by 1Place4Stocks.

3. With regard to the paid services offered, the liability for defects for digital products applies.

4. The provision of the paid services will take place no later than three days after ordering the respective paid service.

5. Subscriptions are automatically renewed, but can be cancelled at any time without notice before the next debit. This also applies to the 14-day trial subscription.

6. All prices quoted are, unless otherwise stated, final prices including VAT.

6. Termination and deletion

1. Subscriptions can be cancelled at any time without notice before the next debit. The cancellation will take effect at the end of the respective period.

2. The cancellation can be made either on the website in the profile via "Manage subscription" in the Stripe customer portal or via the "Cancel Subscription" form at the bottom of the website. After cancellation, the remaining days until the originally planned extension are fully available.

3. We may suspend or terminate your use of the Products if you act fraudulently or breach any obligation under these Terms. Such termination or suspension may be immediate and without notice.

4. To delete the registration, simply send an informal email to contact@1Place4Stocks.com. The registration will then be deleted within three working days at the latest. If the user requests deletion during an active paid subscription, there is no entitlement to a refund of the remaining credit.

5. Upon termination, the User must cease all use of the Data and of the Notion Template. 1Place4Stocks automatically deletes all data in the template provided by 1Place4Stocks upon termination of the membership.

7. Liability

1. The following exclusions and limitations of liability apply to 1Place4Stocks' liability for damages, regardless of the other statutory requirements for claims. 1Place4Stocks is liable without limitation if the cause of the damage is either intentional or due to gross negligence.

2. Furthermore, 1Place4Stocks is liable for the slightly negligent breach of essential obligations, the breach of which endangers the achievement of the purpose of the contract, or for the breach of obligations, the fulfilment of which makes the proper execution of the contract possible in the first place and on whose compliance the user regularly relies.

3. In this case, however, 1Place4Stocks is only liable for foreseeable damage typical for the contract, but not for a slightly negligent breach of obligations other than those mentioned above.

4. The typical damage is generally limited to the specified amount and otherwise to the amount of the user's contractual fee for the period in which the breach of duty occurred.

5. The above limitations of liability do not apply in the event of injury to life, body or health, for a defect after a guarantee has been given for the quality of the product and in the event of fraudulently concealed defects. Liability under the Product Liability Act remains unaffected.

6. 1Place4Stocks assumes no liability for any direct or indirect damages resulting from the use of incorrect data or information provided on 1Place4Stocks. It is expressly pointed out that 1Place4Stocks cannot guarantee complete freedom from errors and therefore the information provided by 1Place4Stocks must be enriched with additional information in order for the user to make a solid investment decision.

7. 1Place4Stocks provides the Website and the services offered on it "as is" and "as available". This means that 1Place4Stocks makes no warranty that the Website and the services will be uninterrupted, timely, secure or error-free.

8. In particular, 1Place4Stocks cannot be held liable for technical malfunctions, failures of the communication network or the Internet, system failures, or other impairments to the availability of the website and services that are outside the control of 1Place4Stocks, including, but not limited to, errors by third parties, force majeure or attacks on the infrastructure by hackers.

9. 1Place4Stocks and/or its suppliers expressly disclaim all warranties, express or implied, including, but not limited to, the warranties of merchantability, fitness for a particular purpose and non-infringement.

10. 1Place4Stocks shall not be liable for any damages arising from the use or non-use of the website or the services provided on the website, including but not limited to damages (including consequential damages) resulting from loss of profits, business interruption, loss of programs or data on your information system, or any other damages. This applies even if 1Place4Stocks has been expressly advised of the possibility of such damages.

11. 1Place4Stocks shall not be liable for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to or alteration of user communications.

12. The services and publications of 1Place4Stocks are not intended for persons who (due to their nationality, place of residence or for other reasons) are subject to laws that prohibit access to the publications of 1Place4Stocks (regardless of the reasons). Persons to whom such restrictions apply are not permitted to access the publications of 1Place4Stocks.

13. The user indemnifies 1Place4Stocks, its officers, employees and all data providers of 1Place4Stocks from all legal disputes, claims for damages and other actions and claims brought or asserted by third parties in connection with the content or the conduct of the user, including the associated legal fees and court costs.

8. Right of withdrawal when ordering paid services

1. The customer has the right to withdraw from the contract for paid services within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract is concluded. To exercise the right of withdrawal, the customer must inform 1Place4Stocks of the decision to withdraw from this contract by means of a clear declaration (e.g. by email). The customer can use the sample withdrawal form attached below as an annex, but this is not mandatory. To meet the withdrawal period, it is sufficient for the customer to send the notification of the exercise of the right of withdrawal before the withdrawal period has expired.

2. If the customer cancels the contract for paid services, 1Place4Stocks must refund all payments that 1Place4Stocks has received from the customer promptly and at the latest within fourteen days from the day on which 1Place4Stocks received notification of the cancellation. For the refund, 1Place4Stocks will use the same means of payment that the customer used for the original transaction, unless something else was expressly agreed with the customer; under no circumstances will the customer be charged any fees for this refund.

3. If the Customer has requested that the paid services (services) begin during the withdrawal period, the Customer shall pay 1Place4Stocks a reasonable amount corresponding to the proportion of the services already provided up to the point in time at which the Customer notifies 1Place4Stocks of the exercise of the right of withdrawal with regard to the contract compared to the total scope of the services provided for in the contract.

9. Final provisions

The contractual relationship between 1Place4Stocks and the user is subject to the law of the Federal Republic of Germany.

The place of jurisdiction for all disputes arising from the contractual relationship between the contracting parties is the registered office of 1Place4Stocks.

10. Severability Clause

If any provision of these Terms and Conditions is invalid, this shall not affect the validity of the other provisions.
